Lux Partners Limited is the Isle of Man company. Lux Industries Inc, a
Delaware C corporation, is the company these sites belong to, so it is the
one they name — in metadata, copyright, and the press items that record who
signed. The fund site names Lux Assets Management LLC, which is its own
company.

Two sentences were rewritten rather than renamed, because a name was doing
work a name cannot do. One claimed an Isle of Man domicile the naming entity
does not have. The other said a company acts on behalf of another; with one
entity left it said a company acts on behalf of itself.

The Isle of Man stays everywhere it is a JURISDICTION the product supports —
the regulatory package, the jurisdiction guides, the compliance tables. Only
this company's own identity changed.

PATENTS — luxfi/teleport

Royalty-free patent grant

Lux Industries, Inc. ("Lux") grants to any implementer of the Teleport bridge endpoint surface (contracts in contracts/contracts/, TypeScript services in api/ and mpc/, and the strict-PQ profile gate library) a worldwide, royalty-free, non-exclusive, irrevocable (except as stated below) patent license under any patent claims Lux owns or controls that would otherwise be necessarily infringed by the implementation of:

  1. Any Lux Improvement Proposal (LP) cited in this repository, including but not limited to LP-021v2 (Warp 2.0 envelope), LP-105 (Lux Stack Lexicon), LP-118 (Warp signature aggregation), LP-110 (Quasar consensus), LP-6331 (B-Chain BridgeVM), LP-6332 (Teleport bridge architecture), LP-7330 (T-Chain ThresholdVM / M-Chain custody), LP-2311 (BLS12-381 precompile), LP-2517 (ML-DSA-65 precompile), and LP-2312 (Pulsar threshold precompile).

  2. The Solidity contracts in contracts/contracts/:

    • Bridge.sol (v1, EIP-712 oracle bridge)
    • BridgeV2.sol (v2, Warp 2.0 envelope bridge)
    • ERC20B.sol, LBTC.sol, LETH.sol, LUXD.sol
    • IBridgeToken.sol, Warp2VerifierStub.sol
    • StrictPQProfileGate.sol (re-exporting @luxfi/pq-profile-ids)
    • All interfaces in contracts/contracts/interfaces/
  3. The TypeScript services in api/, mpc/, and app/:

    • The threshold-signer bus (mpc/src/signers/)
    • The PQ envelope signer (api/src/pq/pqSigner.ts)
    • The profile resolver (resolveSchemeFromEnv, isStrictPQ)
  4. The composition of the above with the upstream PQ primitives (Pulsar M-LWE, Corona R-LWE) as documented in the SPEC and realized in the codebase, when used solely for the purpose of implementing a cross-chain bridge endpoint that authorises mint / vault-release operations via Warp 2.0 envelopes and / or EIP-712 oracle signatures.

Scope of the grant

The grant applies to:

  • Any implementation of the bridge endpoint surface that conforms to the canonical IWarp2Verifier, IVerifier, IP3QVerifier, IBridgeToken, and IPolicyId interfaces under any OSI-approved open-source license (MIT, Apache-2.0, BSD, GPL, etc.).

  • Any implementation that is part of a NIST submission, validation, or interoperability test (PQC, MPTC, ACVP / CAVP, or any successor program).

  • Any implementation that is part of an IETF / RFC standardization process for cross-chain bridge protocols.

The grant does NOT cover patent claims on the underlying PQ primitives themselves. Those grants live in the respective primitive repositories:

  • Pulsar (M-LWE threshold ML-DSA-65): luxfi/pulsar/PATENTS.md
  • Corona (R-LWE): luxfi/corona/PATENTS.md
  • FROST: upstream RFC 9591 — no Lux-controlled patents
  • CGGMP21: upstream paper — no Lux-controlled patents
  • ML-DSA-65 / FIPS 204: NIST-controlled standard, no Lux claims

Defensive termination

The license terminates with respect to a party who institutes patent litigation against Lux (or any other party) alleging that the Teleport bridge endpoint surface or any contribution incorporated within it constitutes direct or contributory patent infringement, mirroring Apache License 2.0 §3 (Grant of Patent License). Termination is prospective; signatures and mints validly performed before the date of suit remain unaffected.

Termination applies to the asserting party AND any party in privity with them with respect to the asserted claim, again mirroring Apache-2.0 §3.

Cross-licensing with upstream

Where this bridge endpoint surface composes upstream PQ primitives, the upstream patent grants apply transitively when the bridge is used together with those primitives. Implementations are encouraged to read both PATENTS.md files (this one + the primitive's) before deployment.
