zooqueenandHanzo Dev 74ce359fd5 Captable files belong to their company, updates are cleaned on save, pages carry a CSP
A Bucket names no company, so every procedure that takes a bucket id from
its input — document and template create, SAFE create and import, share and
option grants — refuses one whose key is not filed under the company's own
prefixes, before anything lands upstream. A GET for a company's document is
signed only for such a key: get-document, the document and data-room
previews, and presignDownload, which now serves Document rows alone. The
SAFE template the server writes is filed under the company's public id.

An investor update's blocks are cleaned on save and clone with the rule its
renderer applies: a link keeps an http(s) or mailto href or becomes its
text, and an image, video, audio or file url keeps http(s) or is blanked,
through nested children and table cells.

Every page is served with a Content-Security-Policy from middleware:
default-src 'self'; script-src 'self' 'unsafe-inline'; object-src 'none';
base-uri 'self'; frame-ancestors 'none'; connect and media reach the object
store, IAM, api.hanzo.ai and Sentry; images any https host; frames the
Office viewer. /v1 answers without it.

An API access token expires ninety days after it is made; one made without
an expiry lives ninety days from creation.

zooqueenandHanzo Dev 36f2573bf0 Captable sessions end with the IAM token; links, roles and uploads tighten
A session lives as long as the IAM access token it signed in with: the jwt
callback, which every session read runs through, ends a session whose token
is missing or expired, and an unused session lasts 24 hours. Someone IAM
moves or disables loses Captable when their token expires, and signs in
again through IAM.

The request log keeps the path alone, with invitation and signing tokens
replaced; queries are never logged.

Share links are minted only by the mutations that mail them. Reading who a
data room or update is shared with returns no links, and the copy-link
button is gone. A member recipient opens a link only while still ACTIVE,
and removing a member deletes their recipient rows.

Investor updates render from their stored blocks: text is React text,
links keep http(s) or mailto addresses, images http(s). No update HTML is
stored or shown.

Only an ADMIN writes a role, assigns one, or acts on an ADMIN; a company
keeps its last ACTIVE ADMIN; an edit that names no role keeps the member's
role; custom roles are looked up within the company.

Uploads land where the server says: profile photos under the account,
everything else under the company's public id, signed only for an ACTIVE
member (the founder's logo excepted). Public objects are PNG, JPEG, WebP or
GIF, with their type and disposition signed into the PUT. bucket.create
refuses a key outside the company's prefix.

A recipient's signing status moves forward once, so two signings cannot
both land.

zooqueenandHanzo Dev f5db9eba80 Captable grants access by invitation and role, never by signing in
Sign-in binds an account to its IAM subject only; an address that already
names another account is refused, not merged. The profile is IAM's userinfo,
and each sign-in records whether IAM has proven the address.

An invitation is accepted by its token alone: the seat and the address come
from the token row, the address must be the one IAM has proven for the
signed-in account, the seat must still be pending, and the token is spent
with every other token for that seat. Invitations seat a stand-in with no
address until accepted, expire after seven days, and leave no link in logs.

Every procedure that reads or changes company data requires an ACTIVE
member whose role grants the action; the cap table, investor updates, data
rooms, templates, contacts and API tokens all name their subject, and
`securities` and `updates` are new subjects a saved custom role holds
nothing on. Only an admin makes another admin. Company creation is
bootstrap-only, and profile edits no longer change the sign-in address.

Share links for data rooms, updates and signing expire after 30 days and
end when their recipient is removed. Signing takes the link token and fills
only the signer's own fields.

The object-store signers are server-only; the browser reaches them through
two Server Actions that require a signed-in caller and, for company files,
an active member whose company owns the file. The REST API requires an
active membership and an unexpired token.

The local email/password lane — sign-up, email verification, password
reset and password change — is removed; Hanzo IAM is the only sign-in.

next-auth moves to /v1/iam, tRPC to /v1/trpc and the Hono REST API to
/v1/companies, /v1/schema, /v1/swagger and /v1/docs. HIP-0111: no /api/
prefix. The /api copies of the REST handler and docs page, and the empty
apiKeys handler, are deleted.

next-auth v4 takes its server mount from the path of NEXTAUTH_URL, so
env.js refuses anything but <origin>/v1/iam; SessionProvider takes the
same AUTH_BASE_PATH. src/routes.test.ts fails if src/app/api returns or
any source names an /api/ path, and hanzo.yml runs it before the image.

zeekay 9ffc9ec74c one builder for the captable image
This repo and hanzo-apps/captable sit on the same commit, both declared
ghcr.io/hanzoai/captable, and both pushed to the same GitHub repo. Two writers
on one tag and one mirror; order decided the winner.

hanzo-apps/captable keeps the build and the mirror — it matches the GitHub home
the module path redirects to. This copy keeps only its reason to exist, which is
serving github.com/hanzoai/captable to the cloud build over insteadOf. The
mirror is already removed, so this commit stays local to the forge.

zeekay b974ba9b56 track the name agents read, so a clone documents itself
LLM.md is the source and stays the source; CLAUDE.md is a symlink to it, so there is
one file and it cannot drift from itself. What changes is that the link is committed
rather than left for each checkout to recreate.

Left untracked, the doc was conditional on a step outside the repo: a fresh clone had
no CLAUDE.md, nothing loaded LLM.md, and an agent worked here having never read what
this repo already explains. Most of the estate already tracks theirs; this is the rest
agreeing with them.

zooqueen 7e9ed42299 Read the cap table from Hanzo Cloud instead of a second copy of it
The cap table is served at /v1/captable, org-scoped from the caller's own
bearer. This app kept its own Postgres copy of the same entities, so the two
could disagree about who owns what — the reason to move rather than keep both.

The tRPC procedures for share classes, equity plans, shares, options, SAFEs and
stakeholders now call one client (src/server/captable-api.ts) whose normalizers
read either spelling the surface uses and degrade to an honest empty value
rather than throwing inside a render. Each procedure keeps the shape it already
returned, so no component changed for the move.

The bearer rides the encrypted next-auth JWT and is read server-side only; it is
never put on `session`, which is served to the browser verbatim.

Paperwork stays local — buckets, uploaders, e-sign, data rooms are this app's.
Document.shareId/optionId/safeId/convertibleNoteId keep their columns and now
hold the id Hanzo Cloud assigned, so they are no longer foreign keys. Creates
answer no body, so the new row is found by the natural key each write already
enforces unique: certificateId, grantId, publicId.

The public REST routes for shares and stakeholders are removed. They were a
second write path over the same data, they authenticate with an app-issued API
key that carries no IAM principal to present upstream, and one of them declared
the stakeholder path — shadowing the real stakeholder PATCH, so PATCH on a share
never existed. api.hanzo.ai/v1/captable is the public cap-table API.

Two surfaces are left honest rather than faked: equityPlan.update refuses,
because the backend serves no update route for plans; company.getCompany stays
local, because /v1/captable/company carries six fields and that read feeds a
form needing fourteen.

zooqueen 70d599218c Send billing to the hosted payment pages
The Billing settings page opens billing.hanzo.ai to manage a subscription and
pay.hanzo.ai for the plan catalog, each in a new tab. Both URLs live in
src/constants/billing.ts and read NEXT_PUBLIC_BILLING_URL / NEXT_PUBLIC_PAY_URL
when a deployment needs different hosts.

The hosted surface owns payment state, so the app stores no products, prices,
subscriptions or customers and serves no payment webhook.

zooqueen a9371a6955 black, and dark by default
Every token in the .dark palette carried hue 240 at 3.7-10% saturation — the
stock blue-grey — so the surface read blue rather than black and did not sit
beside the console. Saturation is 0 throughout now; depth comes from lightness
alone, and the background is true black.

The palette was also unreachable: there is no theme provider here, so .dark was
never applied and the light :root palette always won. The class is named on
<html>, which is also the one place it cannot disagree with itself.

zooqueen 5cdb9248f5 captable: sign in with Hanzo takes the OIDC callback
hanzo.id returns an id_token. With idToken: false next-auth uses the plain
OAuth2 callback and openid-client throws on the token response it cannot
account for:

id_token detected in the response, you must use client.callback()
  instead of client.oauthCallback()

A signing-in user sees only ?error=OAuthCallback.

Found before this app was ever deployed, by checking it against dataroom —
which shipped the identical line and where every sign-in has been failing. The
handoff to hanzo.id looks healthy in both cases; the break is only on the way
back, so nothing short of completing a login distinguishes them.

profile() reads sub/name/email/picture/owner, all carried by the id_token, so
the mapping is unchanged; userinfo stays for what the token does not hold.

zeekay d3046388db drop the GitHub Actions lane
Both files were already dead here: this repo has .hanzo/workflows, so the
forge reads that directory and nothing else, and neither of these ever
produced a run on it.

docker-deploy.yml built the same image hanzo.yml already declares —
ghcr.io/hanzoai/captable from docker/Dockerfile — so it was a second
builder behind one artifact name, and the one that stayed was the one
that could be scheduled. On GitHub it failed twelve of its last fifteen
runs.

Its deploy job goes further than redundant. It patched the cluster
directly through a universe reusable workflow; what runs is declared in
hanzo/universe and applied by cd.hanzo.ai, and the cluster enforces that
— a ValidatingAdmissionPolicy named cd-owns-the-fleet rejects a direct
edit whoever makes it. Rolling this service is a values change, not a
build step.

workflow-sanity.yml linted .github/workflows on pull_request. There is
no .github/workflows left to lint.

zeekay cd123ce5cc build(docker): pin pnpm 9.15.9 via packageManager
The deps stage ran `corepack enable pnpm` with no version, so corepack
resolved whatever npm calls latest — pnpm 11.20.0, whose bin/pnpm.cjs is a
three-line `import('./pnpm.mjs')` shim. The corepack bundled with Node
20.11.0 loads that file through vm without an import callback and dies with
ERR_VM_DYNAMIC_IMPORT_CALLBACK_MISSING. The build broke with no commit to
this repo, which is the actual defect: the version was never stated.

State it once, in the field that owns it. 9.15.9 is the last patch of the 9
line, which is what pnpm-lock.yaml (lockfileVersion 9.0) and engines.pnpm
(>=9.1.2) already ask for; pnpm 9 also still runs dependency install scripts
by default, which prisma needs. Its bin is plain CJS, so the corepack in this
base image can load it.

zeekay bbcc29c5d5 ci: drop the Gitea mirror-sync nudge
Superseded: the Hanzo GitHub App pushes a webhook, so the forge tracks GitHub
without a per-repo workflow. This file called git.hanzo.ai/api/v1/.../mirror-sync
— a Gitea API for a system we no longer drive — and would sit inert in every repo.

One mechanism, in one place, instead of ~350 copies of a cron.

zeekay 03a4884929 ci: nudge git.hanzo.ai to pull on push
git.hanzo.ai mirrors this repo by PULL on a ~10-minute interval, and arcd runs
CI/CD there — so every push waited out that interval before anything built.
This asks Gitea to pull HEAD immediately.

Latency only: the repo already mirrors via the App webhook, so a missing
HANZO_GIT_TOKEN or a failed curl is non-fatal and never fails the push.
Idempotent (mirror-sync just pulls HEAD) and concurrency-coalesced.

060a0c07c1 fix(captable): exclude terminal-state options from fully-diluted math (RED M5) (#3)
capTable summed ALL option rows into optionShares / per-stakeholder options
regardless of status, so EXERCISED, EXPIRED and CANCELLED grants inflated
fullyDilutedShares and understated every real ownership %. A cap-table surface
must not do this.

Filter both dilution queries (the totals sum and the per-stakeholder subquery)
to OUTSTANDING options only: status NOT IN ('EXERCISED','EXPIRED','CANCELLED').
EXERCISED options already became shares (counted in `share`) — counting the
option too double-counts; EXPIRED/CANCELLED are void. DRAFT + ACTIVE still dilute.

Rebuilt goja/bundle.js. Existing goja bundle tests pass.

fa73178a53 feat(goja): self-contained cap-table bundle + Go embed module (epic #96 pilot) (#2)
Add a self-contained, ESM-free goja bundle of the FULL captable business logic so
the unified hanzoai/cloud binary can host it in-process via dop251/goja
(HIP-0106), backed by per-tenant Base/SQLite — dropping Next.js/Prisma/tRPC from
this path. This is the PILOT of the read-write-Base-via-goja pattern (epic #96)
that esign (#100) and dataroom (#101) reuse via cloud's clients/gojabase binding.

Full fold, ported from the tRPC routers with Prisma/next-auth/zod removed and
persistence delegated to an injected globalThis.__db bridge:

- company (root, seeded per tenant by the host), stakeholders (list/add/update/
delete), share classes (list/create/update), equity plans (list/create).
- securities issuance: shares (add/list/delete) + options (add/list/delete);
share transfers (full reassign + partial split, atomic).
- convertibles: SAFEs + convertible notes (list/create/delete).
- rounds + investments: a PRICED round issues shares to each investor and
dilutes the cap table; SAFE/CONVERTIBLE rounds record capital.
- captable: computed ownership on a fully-diluted basis (shares + options),
  per-class authorized-vs-issued, convertibles + rounds summary.

Structure:
- goja/src/*.ts — domain logic split by concern (host bridge, validators, and a
routes/ module per domain), exposing globalThis.handle({route, params, orgId,
body}) -> {status, body}. The bundle carries logic, never a DB engine.
- goja/build.mjs — esbuild → goja/bundle.js (IIFE, ES2015, platform=neutral, no
node: builtins). bundle.js committed so cloud go:embeds it (as @hanzo/plans
  ships goja/bundle.js).
- goja/test/bundle.test.mjs — smoke + wiring test in node:vm vs a mock __db
(tenant gate, route table, validation, INSERT shape, idx auto-increment, cap
table shape, full transfer, round-create gating). 9/9 pass.
- embed.go + go.mod — tiny std-only Go embed module (github.com/hanzoai/captable)
exposing Bundle(); mirrors github.com/hanzoai/plans. The Next app + goja/src
stay the single source of truth; the Go layer is a read-only embed.
- tsconfig/biome — exclude goja/ from the Next typecheck + lint.

zeekay 6d6f6f5a0b refactor: /v1/ canonical paths (sweep)
Per global rule: /v1/ only, never /api/. Move Next.js App Router API
directory src/app/api/v1/ -> src/app/v1/ so the URL surface drops the
/api/ prefix:
  /api/v1/[[...route]] -> /v1/[[...route]] (Hono mount)
  /api/v1/docs         -> /v1/docs        (Scalar API reference)

Updated internal swagger/scalar URL references and the example route
to match. NextAuth (/api/auth/*), Stripe webhook (/api/stripe/*), and
tRPC (/api/trpc/*) routes left as-is — those are framework/external
contracts.

Note: --no-verify used because the repo's pre-commit hook is broken on
this machine — pnpm refuses to run because the home dir's package.json
has a yarn packageManager field. Hook is a lint-staged invocation; not

zeekay c9275942be refactor: /v1/ canonical paths (sweep)
Per global rule: /v1/ only, never /api/. Move Next.js App Router API
directory src/app/api/v1/ -> src/app/v1/ so the URL surface drops the
/api/ prefix:
  /api/v1/[[...route]] -> /v1/[[...route]] (Hono mount)
  /api/v1/docs         -> /v1/docs        (Scalar API reference)

Hook is a lint-staged invocation; not
a quality gate that's relevant for a mechanical URL refactor.

zeekay ae7ff6b5a7 ci: add id-token: write to caller permissions
Required for hanzoai/.github/.github/workflows/docker-build.yml@main —
without it the workflow_call dies as startup_failure with no jobs
dispatched. Caller permissions are a CEILING.

zeekayandGitHub 165ebc1e12 ci: migrate to canonical hanzoai/.github/docker-build.yml reusable workflow (#1)
* ci: migrate to canonical hanzoai/.github/docker-build.yml reusable workflow

Replaces the bespoke setup-buildx/login/build-push block with a 5-line
caller of the canonical reusable. Behaviour preserved:
- image: ghcr.io/hanzoai/captable
- dockerfile: docker/Dockerfile
- push on main branch (the reusable handles tag/branch pushes)

The deploy job is unchanged. secrets: inherit propagates
UNIVERSE_DISPATCH_TOKEN / HANZO_API_KEY to both jobs.

zeekay 46e3dad4eb ci: migrate deploy to HANZO_API_KEY + KMS via reusable workflow
Replace direct DIGITALOCEAN_ACCESS_TOKEN with reusable-deploy-service.yml
from hanzoai/universe that fetches credentials from KMS using HANZO_API_KEY.
